Dividend policy
BW Energy has an objective to generate long-term shareholder returns which will be achieved through share price appreciation and dividend payments. The Company targets a dividend based on a pay-out ratio of 50% of annual net profit, adjusted for extraordinary items. The timing and amounts for such dividend payments will be decided by the Board of Directors, taking into account overall financial condition, capital requirements, including capital expenditure commitments, and general business conditions.

BW Energy’s external auditor is appointed by the Annual General Meeting, which also determines the auditor’s compensation. The Board of Directors holds regular discussions with the auditor, including meetings held without the presence of executive management, focusing on financial reporting processes, internal control matters and observations arising from the audit.
The auditor maintains an ongoing dialogue with the Audit and Risk Committee, participates in committee meetings and presents the scope and approach of the annual audit. An annual evaluation of the auditor’s independence is performed, and any engagement for services outside the statutory audit is subject to the company’s established framework governing audit-related and other services.
